Acceptance of Terms

By accessing or using Abaynex services and website, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Services Description

Abaynex provides technology talent consulting and staff augmentation services, connecting global businesses with pre-vetted Ethiopian IT professionals. Services include but are not limited to: software development, AI/ML engineering, DevOps & cloud infrastructure, cybersecurity, UI/UX design, data engineering, and QA testing.

Client Obligations

• Provide accurate project requirements and timely feedback
• Treat our talent professionals with respect and dignity
• Honor agreed payment terms and schedules
• Maintain confidentiality of any proprietary information shared during engagements

Intellectual Property

All work product created by Abaynex talent on your behalf becomes your property upon full payment, unless otherwise agreed in writing. Abaynex retains the right to display general project descriptions (without proprietary details) in our portfolio.

Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during engagements. This obligation survives termination of the service agreement.

Limitation of Liability

Abaynex's liability for any claim arising from our services is limited to the fees paid for the specific service giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

Payment Terms

Payment terms are specified in individual service agreements. Abaynex reserves the right to suspend services for overdue payments. All fees are in USD unless otherwise agreed.

Termination

Either party may terminate an engagement with 14 days written notice, unless otherwise specified in the service agreement. Abaynex may terminate immediately for breach of these terms.

Governing Law

These terms are governed by the laws of Ethiopia. Disputes shall be resolved through good-faith negotiation, and if unsuccessful, through arbitration in Addis Ababa, Ethiopia.

Changes to Terms

Abaynex reserves the right to modify these terms at any time. Continued use of our services after changes constitutes acceptance of the new terms.
